SuperPAL’s Terms & Conditions of Service

SuperPAL Online Platform is a product of SuperPAL Active Sdn. Bhd. (1341747-M). The integrity of our online platform is something we take very seriously and we are committed to operating it in a safe, secure, legal and respectful way. By using this SuperPAL online platform (“Service”), you are agreeing to be bound by the following terms and conditions (“Terms & Conditions”).

  1. The SuperPAL online platform’s “Terms & Conditions” and the associated “Privacy Policy” govern your access to and use of SuperPAL Online Platform and its associated service. You should read these Terms & Conditions and the “Privacy Policy” carefully before using the SuperPAL Online Platform. By accessing or using our Online Platform, you are signifying that you agree to be bound by the SuperPAL’s “Terms & Conditions” and “Privacy Policy”.
  2. SuperPAL reserve all rights to revise, update and change the Terms & Conditions from time to time without prior notice. Any new features, services, tools or resources shall be subject to the Terms & Conditions. Continued use of the Service after any such changes shall constitute your consent to such changes.
  3. SuperPAL reserve all rights at any time to modify or discontinue, temporarily or permanently, the Online Platform and the associated Services (or any part thereof) with or without prior notice. SuperPAL shall not be liable to you or to any third-party for any modification, suspension or discontinuance of the Online Platform and the associated service. SuperPAL does not guarantee that its Online Platform will be free from viruses, incorrect or misleading information or that access to the Online Platform and associated service will be uninterrupted.
  4. By submitting content to SuperPAL you automatically grant, represent and warrant that you have the right to grant SuperPAL an irrevocable, non-exclusive, perpetual, fully paid, worldwide license to modify, copy, retain, display, distribute and use the content, including syndication to other organisations, companies or services. SuperPAL have the rights, but not the obligation, in its sole discretion to refuse or remove any content that is available on its Online Platform.
  5. The copyright for the content on this Online Platform is owned or licensed by SuperPAL and is protected under the Copyright Act 1988 (Cth). You agree not to reproduce, adapt, duplicate, copy, sell, resell, distribute or exploit any portion of the SuperPAL content, without the express written consent of SuperPAL, unless such activities are consistent with the sharing of information between individuals, groups or organisations as intended by SuperPAL.
  6. SuperPAL may remove Content and/or Accounts containing content that we determine in our sole discretion are unlawful, offensive, threatening, libellous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms & Conditions.
  7. You are responsible for maintaining the security of your account and password. SuperPAL will not be liable for any loss or damage from your failure to comply with this security obligation. You are solely responsible for all content posted and activity that occurs under your account (even when content is posted by others who have access to your account). You may not use the service for any illegal or unauthorised purpose. You must not, in the use of the service, violate any laws in your jurisdiction (including but not limited to copyright laws).
  8. You can cancel your Account at any time. You are solely responsible for properly cancelling your Account, an email or phone request to cancel your Account is not considered cancellation. All of your personally identifiable information will be deleted from the SuperPAL online platform upon cancellation.
  9. SuperPAL in its sole discretion, has the right to suspend or terminate your Account and refuse any and all current or future use of its Online Platform, or any other associated service, for any reason at any time. Such termination of the Online Platform and other associated service will result in the deactivation or deletion of your Account or access to your Account, and the forfeiture and relinquishment of all content in your Account. SuperPAL reserve all rights to refuse service to anyone for any reason at any time.
  10. Jurisdiction – SuperPAL is currently only intended for use by Malaysian residents within Malaysia and overseas. The law applicable to use and to disputes is the law of Malaysia.
  11. SuperPAL does not warrant the accuracy, adequacy, completeness or timeliness of the content on its Online Platform or any 3rd party linked website or resource. All information may be changed, supplemented, deleted or updated without prior notice at the sole discretion of SuperPAL. SuperPAL disclaim all warranties, either express or implied, statutory or otherwise, including but not limited to the implied warranties of merchantability, non-infringement of third parties’ rights, and fitness for a particular purpose.
  12. You acknowledge that SuperPAL has no control over and does not guarantee the quality, safety, accuracy or legality of any event, program or content associated with an event and program, the truth or accuracy of any information provided by third-party organisers in connection with events and programs organised. You understand and accept the full responsibility that some events and programs may carry inherent risk, and by participating in those events and programs. For example, some events may carry risk of bodily injury, disability, or death, and you freely and wilfully assume those risks by choosing to participate in those events.
  13. Intellectual Property and Copyrights – You agree that all content posted may be protected by copyrights, trademarks, service marks, trade secrets or other intellectual property and other proprietary rights and laws. SuperPAL may own the Site Content or portions of the Site Content may be made available to SuperPAL through arrangements with third-parties. Site Content included in or made available through the online platform is the exclusive property of SuperPAL. You agree to use the Site Content only for purposes that are permitted by these Terms and any applicable local, state, provincial, national or other law, rule or regulation. Any rights not expressly granted herein are reserved.
  14. The trademarks, service marks and logos of SuperPAL (the “SuperPAL Trademarks”) used and displayed in connection with the Online Platform and its associated service are registered and unregistered trademarks or service marks of SuperPAL. The offering of the Online Platform and its associated service will not be construed as granting, by implication, or otherwise, any licence or right to use any Trademark displayed in connection with the Online Platform without the prior written consent of SuperPAL specific for each such use. The Trademarks may not be used to disparage SuperPAL, any third-party associated with SuperPAL or such third party’s products or services, or in any manner that may damage any goodwill in the Trademarks. Use of any Trademarks as part of a link to or from any site is prohibited unless SuperPAL approves the establishment of such a link by prior written consent specific for each such link.
  15. Licences, Insurances and Permits that Organisers Must Obtain – If you are an Organiser, without limiting the generality of any representations or warranties provided elsewhere in these Terms of Service, you represent and warrant to us that:
    • You and your affiliates will obtain, prior to the start of ticket sales, all applicable licences, insurance, permits, and authorizations with respect to the events and programs hosted by you or your affiliates on SuperPAL Online Platform;
    • You and your affiliates will comply, and will ensure that the venues for each event and program hosted by you or your affiliates on SuperPAL Online Platform will comply, with all applicable laws, regulations, rules and ordinances enforced by the local, state and federal authority;
  16. Fees and Refunds – You as Organiser may post as many free events/programs through SuperPAL Online Platform as you wish. It’s free to use our SuperPAL Online Platform as there are no monthly charges, enrolment costs or setup fees incurred.
  17. Ticket Transfers – If you as Attendee wish to transfer tickets to an event you have purchased via SuperPAL Online Platform, in some instances SuperPAL may be able to accommodate this for you. In all other instances, please directly contact the applicable event/program Organiser for ticket transfer.
  18. Refund Requests – Because all transactions are between an Organiser and its respective Attendees, SuperPAL request that all Attendees contact the applicable event/program Organiser for any refund requests. In addition, SuperPAL will not be held liable under any circumstances for costs and/or damage associated with the purchased tickets.
  19. Your Login Account – SuperPAL may require you to create an account to access certain features or functions of the SuperPAL Online Platform. You agree to accept these Terms and Conditions of Service when you create an account with SuperPAL including the following:
    • You must be at least 18 years of age, or the legal age of majority where you reside, to use SuperPAL online platform and its associated Service.
    • You agree to provide true, accurate, current and complete information about yourself, or if you are using the Online Platform and Service on behalf of an entity, the entity (the “Registration Data”). You also agree to update this Registration Data if it changes.
    • If there is a dispute between two or more persons or entities as to account ownership, SuperPAL will be the sole arbiter of that dispute and SuperPAL’s decision (which may include termination or suspension of the account) will be final and binding on those parties.
    • If you are using the SuperPAL Online Platform and its associated Service on behalf of a company or other entity, you represent and warrant that you have the authority to legally bind that entity and grant SuperPAL all permissions and licences provided in these Terms.
    • You agree to immediately notify SuperPAL of any unauthorised use of your password or account or any other breach of security. You are responsible for (and we will hold you responsible for) any activities that occur under your account.
  20. Limitation of liability – In using the SuperPAL Online Platform and its associated services, you expressly understand and agree that SuperPAL shall not be liable for any direct, indirect, incidental, special, punitive and/or consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses. The failure of SuperPAL to exercise or enforce any right or provision of the Terms & Conditions shall not constitute a waiver of such right or provision.
  21. Indemnification – In using the SuperPAL Online Platform and its associated service, you hereby agree to release SuperPAL and each of its respective executives, directors, business partners, other partners and employees harmless from all damages (whether direct, indirect, incidental, consequential or otherwise), losses, liabilities, costs and expenses of every kind and nature, known and unknown, arising out of a dispute between you and a third party (including other Users) in connection with the online platform or any event, program and associated Service offered.
  22. Additional Miscellaneous Provisions – Failure to enforce any part of these Terms will not constitute a waiver of SuperPAL’s right to later enforce that or any other part of these Terms. No oral waiver, amendment or modification of these Terms will be effective. If any provision of these Terms is found to be unenforceable, that part will be limited to the minimum extent necessary the other provisions of these Terms remain in full force and effect.
